Terms & Conditions

1. Platform Role

Optima Studio operates as a curated marketplace and introducer for vintage furniture and design items.

Optima Studio does not own the listed items unless explicitly stated and does not act as the seller.

2. Seller Listings

All listings submitted by sellers are subject to review and approval by Optima Studio.

Optima Studio reserves the right to accept, reject, edit, suspend, or remove listings at its discretion.

3. Commission & Payments

Optima Studio operates on a commission-based model.

• A commission of 10% + VAT (where applicable) is payable by the seller on each successfully sold item.
• The commission is not deducted automatically from the sale price.
• After a sale is completed, Optima Studio will issue an invoice to the seller for the commission amount.

If the invoice is not paid within 7 days, Optima Studio reserves the right to:

• Refer the outstanding balance to a debt collection agency, and/or
• Suspend or remove the seller’s active listings until payment is received.

Note: No online payment processing or automatic commission deductions are applied at this stage (MVP phase).

4. Buyer Offers

Any offer submitted by a buyer is non-binding and subject to review by Optima Studio and the seller.

Submitting an offer does not constitute a contract or guarantee acceptance.

Optima Studio reserves the right to reject, withhold, or negotiate offers at its discretion.

5. Communication & Sales Process

To ensure transparency and correct commission tracking, all pre-sale communication between buyers and sellers must take place via the Optima Studio platform.

Direct contact details (phone number, email, WhatsApp, etc.) must not be shared prior to an agreement being confirmed.

Once a sale is agreed, Optima Studio may facilitate the exchange of contact details solely for delivery or collection purposes.

6. Delivery & Collection

Delivery is not included in the listed price unless explicitly stated.

Delivery or collection arrangements are agreed separately between the buyer and the seller after an enquiry or offer is accepted.

Optima Studio does not provide delivery services and accepts no responsibility for delivery, courier arrangements, damages in transit, or collection logistics.

7. Liability

Optima Studio acts solely as an introducer between buyers and sellers.

Any disputes regarding condition, authenticity, payment, delivery, or collection must be resolved directly between the buyer and the seller.

8. Changes to Terms

Optima Studio reserves the right to update or amend these Terms & Conditions at any time.

Continued use of the platform constitutes acceptance of the current terms.

9. Governing Law

These Terms & Conditions are governed by the laws of England and Wales.
